Why PE Operating Teams Should Own the AI Layer, Not Rent It From Consultants

PE operating teams face a strategic choice about AI operating layers that most have not yet resolved. The choice is between owning the capability internally — as a persistent operating asset that extends across the portfolio — or renting it episodically from consulting firms and implementation partners. The economics, strategic flexibility, and compounding knowledge capture all favor ownership. Operating teams that rent the AI layer make the same long-term mistake PE firms made in the 2000s when they rented operational expertise from consultants rather than building operating-partner teams — and the cost of that mistake compounded every year until funds finally built internal capability.

The Historical Parallel

The parallel to operating-partner capability is worth drawing carefully. In the 2000s, PE firms primarily relied on external consultants for operational expertise. Deal teams did the transactions; consultants ran the post-close operational work during the hold period. This model produced adequate outcomes but left significant value uncapatured because consultants lacked the continuity, portfolio context, and aligned economic incentives that fund-level operating partners provide.

Firms that invested early in internal operating-partner capability — building dedicated teams focused on portfolio-wide value creation — captured a structural advantage. They accumulated cross-portfolio expertise that compounded. They built playbooks that improved with each deployment. They developed relationships with portfolio-company management teams that deepened over time. By the 2020s, most top-decile PE firms had significant internal operating-partner capability; firms that had not built this capability were structurally disadvantaged.

The AI-operating-layer decision PE firms face now has the same structural character. Rent capability episodically and accumulate no durable advantage. Build capability internally and compound across every portco, every hold period, every fund cycle.

The Economic Case for Ownership

The economic case for owning the AI layer has three components.

Cost efficiency per deployment. External consulting engagements to deploy AI capabilities against portco workflows typically cost $500K-$3M per portco per major deployment. Across a ten-portco portfolio with multiple workflow deployments per portco, cumulative annual cost to rent runs $10-50M. Internal teams supported by operating-layer infrastructure can handle the same deployments at a fraction of the cost — especially after the first year when the learning curve flattens and deployments become faster.

Scale advantage. A single internal team deploying across the portfolio captures economies of scale that consulting engagements do not. The same playbook, the same configurations, the same integrations apply across portcos. The tenth deployment costs materially less than the first because the infrastructure, the methodology, and the deployment team are already in place.

Knowledge compounding. Every deployment produces learning that is permanently retained inside the fund's operating capability. Consultants retain the learning inside their firm and apply it to other clients — including the fund's competitors. Internal teams retain the learning inside the fund and apply it only to the fund's portfolio.

Together these components produce a long-term cost and capability advantage that grows over time. Early ownership investment pays back repeatedly across every hold period.

The Strategic Case for Ownership

Beyond the economics, strategic considerations strongly favor ownership.

Speed. Operating decisions at portco and fund level benefit from the ability to deploy AI capability quickly when it is needed. Internal teams can mobilize within days; external engagements take weeks to scope and months to deliver. Speed matters most at the moments that matter most — integration windows, exit preparation, operational crisis response — and internal capability is decisively faster.

Context retention. The internal team develops deep understanding of each portco's operational reality, which produces materially better deployments than external engagements that start fresh on each assignment. Context retention also improves cross-portco transfer of learnings because the team has first-hand understanding of both sides of any given analogy.

Strategic alignment. Internal teams operate with full alignment to the fund's value-creation priorities. Consultants optimize for engagement profitability and client-relationship longevity, which are sometimes but not always aligned with the fund's specific objectives. Alignment matters most on decisions that require tradeoffs — depth versus breadth, speed versus polish, risk versus return — where internal teams default to the fund's priorities and external teams default to the engagement's.

Portco-leadership relationships. Fund-level operating teams build ongoing relationships with portco CEOs, CFOs, and operations leaders. These relationships produce better execution on individual deployments and better coordination across portfolio-level initiatives. Consultants rotating through engagements never achieve this relationship depth.

What "Owning" Actually Means

Ownership does not mean building every piece of the AI operating layer from scratch. No fund should attempt that; the cost and timeline would be prohibitive. Ownership means the fund has a dedicated internal team that deploys and operates the AI layer across the portfolio — often working with external software platforms and occasionally with external specialists on specific challenges, but with the strategic direction, the knowledge accumulation, and the execution accountability residing inside the fund.

A typical structure looks like this. The fund has a small internal team (three to seven professionals depending on portfolio size) focused on AI operating-layer deployment. This team selects software platforms to build on, maintains standard configurations across portcos, executes deployments at new acquisitions, and supports ongoing optimization inside the portfolio.

For specific deep specialty needs — complex industry-specific configurations, novel regulatory considerations, unusually complex integrations — the team engages external specialists. These are targeted engagements rather than broad-scope consulting, and they feed learning back into the internal team's permanent capability.

This structure mirrors the way mature funds run operating-partner teams: internal seniority for strategic direction and portfolio coordination, external support for specific specialty needs, and permanent ownership of the capability.

The Consulting-Firm Counter-Argument

Consulting firms argue that AI-operating-layer deployment requires specialized expertise that funds cannot economically build internally. This argument has partial merit. The specific expertise required is real, and building it from scratch would be uneconomic.

But the argument misses two points. First, specialized expertise is acquirable — funds have built operating-partner teams with sophisticated operational expertise over the past fifteen years, and AI-operating-layer expertise is no harder to build than the operational expertise these teams already have. Second, consulting firms are not the only source of the expertise; operating-layer software platforms, independent specialists, and experienced operators from relevant categories all provide alternatives to traditional consulting engagements.

The consulting argument also has a clear self-interest: firms want to continue selling the high-margin engagements that ownership-model funds will not buy. This self-interest does not make the argument wrong, but it should be weighed when evaluating the argument's strength.

The Portfolio-Scale Threshold

The economic case for ownership becomes stronger as portfolio size grows. A fund with 2-3 active portcos probably cannot justify a full internal AI operating-layer team; the fixed cost exceeds the cross-portfolio leverage. A fund with 8-15 active portcos almost certainly can; the leverage across portcos clearly justifies the investment.

For funds in the middle — 4-7 portcos — the decision depends on the portfolio's activity level, the fund's forward commitment pipeline, and the sophistication of existing operating-partner capability. Funds growing into larger portfolios should build the capability ahead of the portfolio expansion rather than waiting for scale to force the decision.

The Compounding Window

The compounding advantages from ownership are a function of time. Funds that build internal AI capability in 2024 and 2025 will have accumulated two to three years of portfolio-wide deployment experience by 2027. Funds that wait until 2027 to build will be starting from zero against competitors who have already built deep capability.

The compounding dynamic favors early movers decisively. Every year of accumulated experience produces better deployment outcomes, faster integration cycles, and more refined playbooks. Late movers face both the cost of building from scratch and the competitive disadvantage of operating against peers with mature capability.

The Honest Trade-Off

The honest trade-off is that ownership requires upfront investment (team, platform selection, initial deployment effort) that rental does not. Rental is more pay-as-you-go. For funds with capital constraints or uncertainty about portfolio trajectory, the simpler economics of rental may be more attractive in the short term.

But the long-term math is clear. Rental produces no compounding advantage. Ownership does. Funds willing to make the upfront investment capture long-term returns that rental cannot match. Funds that continue to rent year after year end up paying more cumulatively while accumulating less capability.

The Operating-Layer Decision Is a Fund-Strategy Decision

The AI-operating-layer decision is not an IT decision or a technology-infrastructure decision. It is a fund-strategy decision about where the fund's persistent capabilities sit. Funds that recognize this and build internal capability position for the next cycle of competitive differentiation. Funds that do not will find themselves behind competitors who did — and the gap will be harder to close the longer it persists.

Own the AI layer. Build the team. Compound the advantage. The operating teams that execute this decision now capture the cycle's value; the ones that rent it from consultants pay the rental cost indefinitely while competitors compound capability.
